đ Driver Independent Contractor Agreement

This agreement legally defines your relationship with Tranzit Taxi. Please read carefully before signing.
1.1 Parties to This Agreement
This Independent Contractor Agreement ("Agreement") is entered into between:
Consumarwise Shopping Ltd, a company registered in Trinidad and Tobago, trading as "Tranzit Taxi" (hereinafter referred to as "the Company" or "Tranzit")
The individual driver who has completed registration and signed this Agreement (hereinafter referred to as "the Driver" or "Contractor")
1.2 Independent Contractor Status
â ī¸ Important Declaration
By signing this agreement, you acknowledge and agree that you are an Independent Contractor, NOT an employee of Consumarwise Shopping Ltd or Tranzit Taxi.
The Driver expressly acknowledges and agrees that:
The Driver is engaged as an independent business operator and is not an employee, agent, joint venturer, or partner of the Company.
The Driver is not entitled to any employee benefits including but not limited to: vacation pay, sick leave, health insurance, pension contributions, severance pay, National Insurance contributions by the Company, or any other employee entitlements under Trinidad and Tobago labour laws.
The Driver maintains complete autonomy over their working hours, methods, and the acceptance or rejection of ride requests.
The Driver is free to engage in other business activities, including providing services to competing platforms such as Allridi, Uber, or other transportation services ("Non-Exclusivity Clause").
The relationship between the Driver and the Company is that of a technology service provider and its user.
1.3 Driver Responsibilities & Obligations
As an independent contractor, the Driver agrees to the following responsibilities:
Vehicle Requirements:
The Driver is solely responsible for providing, maintaining, and operating a suitable vehicle for transportation services.
The vehicle must be registered in the Driver's name or the Driver must possess written authorization from the registered owner.
The vehicle must pass all required inspections and meet Trinidad and Tobago road safety standards.
The Driver must maintain valid comprehensive motor vehicle insurance that covers commercial/hire-and-reward activities.
The Driver is responsible for all vehicle maintenance, repairs, fuel costs, and operational expenses.
Licensing Requirements:
The Driver must possess a valid Trinidad and Tobago Driver's Permit appropriate for the class of vehicle operated.
For commercial operations, the Driver must obtain any required Hired Car (H) badge or equivalent licensing as mandated by the Transport Division.
The Driver must maintain a clean driving record with no major traffic violations or suspensions within the past three (3) years.
Legal Compliance:
The Driver is solely responsible for all traffic violations, fines, and penalties incurred while operating their vehicle.
The Driver is responsible for all applicable taxes, including income tax and VAT if applicable, on earnings from the platform.
The Driver must comply with all laws of Trinidad and Tobago regarding transportation services.
1.4 Commission Structure & Payment Terms

Driver receives 75% of the total ride fare. Company receives 25% as platform/service fee.

Target commission after platform stabilizes: 15%
Payment for Cash Rides:
For rides paid in cash by the passenger, the Driver collects the full fare amount from the passenger.
The Driver must remit the Company's 25% share within forty-eight (48) hours of the ride completion.
Remittances must be deposited to the designated Company bank account:

Remittances must be made by 6:00 PM or 8:00 AM daily. Weekend deposits are NOT accepted.
Payment for Card/Online Rides:
For rides paid online via the Tranzit platform, the Company deducts the 25% commission automatically.
Driver earnings are deposited to the Driver's registered bank account on a weekly basis (every Friday).
đ¨ Late Payment Penalties
Failure to remit the Company's share within 48 hours will result in a $20 TTD late fee per day. Accounts more than 5 days overdue will be suspended from receiving new ride requests until the balance is cleared.
1.4.1 Driver Debt Repayment & Fraud Prevention
â ī¸ CRITICAL: Chargeback & Fraud Policy
Payments made by Drivers to clear platform debt are considered final settlement of liability. Filing a chargeback on a debt repayment is treated as fraud.
If a Driver files a chargeback on a debt repayment transaction, the following actions will be taken immediately and without exception:
Immediate Debt Reinstatement: The full debt amount will be immediately added back to the Driver's account balance, plus a $250.00 TTD Chargeback Penalty Fee. This is processed automatically by our AI debt management system.
Permanent Account Termination: The Driver's account will be permanently terminated and blacklisted from the Tranzit platform. This ban is irreversible and applies to all associated email addresses, phone numbers, and vehicle registrations.
Criminal Prosecution: Tranzit reserves the right to report the transaction to the Trinidad and Tobago Police Service as "Obtaining Credit by Fraud" under the laws of Trinidad and Tobago. Evidence submitted will include:
Driver's government-issued ID (submitted during registration)
Saved GPS residence data from the Driver's home base location
Transaction records and payment history
Communication records related to the debt
Debt Recovery: Outstanding amounts including the penalty fee may be referred to a debt collection agency and/or pursued through civil legal proceedings.
đ¤ AI-Managed Debt Tracking
Driver debt is managed by our automated AI system. Your debt balance is persistent and tracked in real-time. Debt does NOT reset on Fridays or any other date - it persists until fully paid and confirmed. The system automatically calculates late fees, sends reminders, and enforces lockouts.
Manual Administrative Actions:
Tranzit administrators reserve the right to:
Manually lock or unlock driver accounts at any time
Add debt amounts back to accounts (e.g., after chargebacks or disputes)
Add penalty fees for policy violations
Adjust commission rates as posted on the platform
Review and investigate suspicious payment patterns
1.5 Liability & Indemnification
The Driver acknowledges and agrees that:
Personal Liability: The Driver is personally liable for any accidents, injuries, or damages occurring during the provision of transportation services, regardless of fault.
Insurance Claims: The Driver's personal motor vehicle insurance shall be the primary coverage for any claims arising from vehicle operation.
Passenger Claims: The Driver shall indemnify and hold harmless Consumarwise Shopping Ltd from any claims, damages, losses, or expenses arising from the Driver's provision of services, negligence, or breach of this Agreement.
Third-Party Claims: The Driver shall be solely responsible for defending and settling any third-party claims related to their operation of the vehicle.
Platform Disclaimer: Tranzit Taxi provides a technology platform for connecting drivers and passengers only. The Company does not provide transportation services directly and shall not be liable for the Driver's actions or omissions.
1.6 Termination
This Agreement may be terminated:
By either party at any time, with or without cause, upon written notice.
Immediately by the Company for breach of this Agreement, the Code of Conduct, or applicable laws.
Upon deactivation of the Driver's account on the Tranzit platform.
Upon termination, the Driver must immediately settle any outstanding commission balances owed to the Company.
1.7 Dispute Resolution
Any disputes arising from this Agreement shall be governed by the laws of Trinidad and Tobago and shall be resolved through:
Good faith negotiation between the parties.
Mediation through a mutually agreed mediator.
If mediation fails, through the courts of Trinidad and Tobago.

đĨ Passenger Terms of Service
2.1 Service Description
đą Platform Only
Tranzit Taxi provides a technology platform only. We connect passengers with independent driver-partners. We do not provide transportation services directly.
By using the Tranzit Taxi application, website, or booking services, passengers ("Users" or "Riders") agree to these Terms of Service.
2.2 The Marketplace Clause
Users acknowledge and agree that:
Consumarwise Shopping Ltd, trading as Tranzit Taxi, is a technology company that provides a software platform to connect passengers with independent transportation providers ("Drivers").
Tranzit Taxi does not own, operate, or control any vehicles used to provide transportation services.
All Drivers are independent contractors, not employees of Tranzit Taxi.
The contract for transportation is between the passenger and the Driver directly.
Tranzit Taxi acts solely as an intermediary/marketplace connecting the two parties.
2.3 User Responsibilities
Users agree to:
Provide accurate pickup and drop-off locations.
Be ready at the designated pickup location within 5 minutes of the Driver's arrival.
Treat Drivers with respect and refrain from abusive, discriminatory, or inappropriate behavior.
Pay the agreed fare promptly upon completion of the ride.
Wear seatbelts as required by law.
Not request the Driver to violate any traffic laws.
Not carry illegal substances, weapons, or hazardous materials.
2.4 Assumption of Risk

Users accept that they utilize transportation services arranged through the Tranzit platform at their own risk.
Users acknowledge that:
Road travel inherently involves risks including accidents, traffic delays, and vehicle breakdowns.
Tranzit Taxi does not guarantee the suitability, safety, ability, or reliability of any Driver.
Users are encouraged to verify the Driver's identity and vehicle details before entering the vehicle.
2.5 Limitation of Liability
To the maximum extent permitted by law, Tranzit Taxi shall not be liable for:
Lost, stolen, or damaged personal belongings left in vehicles.
Missed flights, appointments, or events due to traffic, delays, or cancellations.
Driver misconduct, negligence, or criminal acts.
Accidents, injuries, or property damage occurring during rides.
Route choices made by Drivers.
Service interruptions, app downtime, or technical failures.
Users agree that any claims for damages shall be directed to the Driver or their insurance provider, not to Tranzit Taxi.
2.6 Cancellation Policy
Free cancellation: Within 2 minutes of booking confirmation.
Cancellation fee: $10 TTD if cancelled after 2 minutes or after Driver has begun traveling to pickup.
No-show fee: Full fare charged if User does not appear within 10 minutes of Driver arrival.
2.7 Fare Disputes
Fare disputes must be raised within 24 hours of ride completion through the Tranzit app or by emailing tranzitdrivers748@gmail.com. Tranzit will review GPS data, route information, and fare calculations to resolve disputes fairly.

Legal Compliance: Comply with legal obligations and respond to lawful requests from authorities.
3.3 Location Data Sharing
đ Location Privacy
Your real-time location is only shared with the Driver during the duration of an active ride. Location sharing stops when the ride is completed or cancelled.
Specifically:
Passenger location is shared with the assigned Driver only after a ride is confirmed.
Driver location is visible to passengers who have booked a ride with that Driver.
Historical trip data is stored securely for billing, dispute resolution, and safety purposes.
We do not sell location data to third parties.
3.4 Data Storage & Security
All data is stored on secure servers using industry-standard encryption (SSL/TLS).
Trip history and transaction records are retained for a minimum of 7 years for legal and tax compliance.
Personal data is stored using Firebase/Google Cloud infrastructure with enterprise-grade security.
Access to personal data is restricted to authorized personnel only.
3.5 Third-Party Sharing
We may share your information with:
Payment Processors: To process card payments (WiPay, PayPal, etc.)
Mapping Services: Google Maps for navigation and fare calculation
Law Enforcement: When required by law or valid legal process
Insurance Providers: In case of accidents or claims (with your consent)
We do not sell your personal information to advertisers or data brokers.
3.6 Your Rights
You have the right to:
Access: Request a copy of your personal data.
Correction: Request correction of inaccurate data.
Deletion: Request deletion of your account and associated data (subject to legal retention requirements).
Opt-out: Unsubscribe from marketing communications.
In the event of a data breach affecting your personal information, we will notify affected users within 72 hours of becoming aware of the breach, as required by applicable data protection regulations.

â Driver Code of Conduct
đ Mandatory Standards
Violation of this Code of Conduct may result in immediate account suspension or permanent deactivation.
4.1 Professional Standards
All Tranzit Drivers must:
Dress Code: Wear Tranzit-branded attire (uniform shirt, hoodie, or magnetic signage) when accepting rides.
Identification: Display their Tranzit Driver ID badge visibly in the vehicle.
Communication: Respond promptly to ride requests and communicate professionally with passengers.
Punctuality: Arrive at pickup locations within reasonable time and notify passengers of any delays.
4.2 Vehicle Standards
đ Your Vehicle Represents Tranzit
A clean, well-maintained vehicle is essential for positive passenger experiences and 5-star ratings.
Drivers must ensure their vehicle:
Is clean inside and out at all times (no trash, debris, or offensive odors)
Has functioning air conditioning (especially important in Trinidad's climate)
Has working seatbelts for all passenger seats
Has no visible damage, dents, or broken components that affect safety or appearance
Meets all inspection requirements and is roadworthy
For Luxury tier: Must be a premium vehicle (SUV, Executive Sedan) under 5 years old
4.3 Prohibited Conduct
đĢ Zero Tolerance Policy
The following actions will result in immediate and permanent deactivation:
No Smoking: Smoking, vaping, or using tobacco products in the vehicle while on duty is strictly prohibited.
No Alcohol or Drugs: Operating a vehicle under the influence of alcohol, marijuana, or any impairing substance is grounds for immediate termination and criminal reporting.
No Harassment: Sexual harassment, inappropriate comments, unwanted physical contact, or discriminatory behavior toward passengers is strictly prohibited.
No Discrimination: Refusing rides based on race, religion, nationality, gender, disability, or destination is prohibited.
No Solicitation: Soliciting passengers for personal services or business unrelated to Tranzit is prohibited.
No Fare Fraud: Requesting cash payments for card rides, manipulating routes to increase fares, or any form of payment fraud is prohibited.
No Violence: Any form of violence, threats, or aggressive behavior toward passengers, other drivers, or the public.
4.4 Safety Requirements
Seatbelts: Ensure all passengers wear seatbelts before beginning the trip.
Child Safety: Comply with Trinidad and Tobago child restraint laws. Request passengers with children to provide appropriate car seats.
Speeding: Obey all posted speed limits and traffic laws at all times.
Mobile Phones: Do not use handheld mobile devices while driving. Use hands-free navigation only.
Fatigue: Do not drive while fatigued. Take breaks as needed to ensure alertness.
All reports are investigated, and appropriate action is taken based on findings.

LEGAL NOTICE: Consumarwise Shopping Ltd, doing business as Tranzit Taxi, is a technology platform company. We provide software applications and digital services that connect passengers seeking transportation with independent driver-partners who provide transportation services using their own vehicles. Tranzit Taxi does not own, lease, or operate any vehicles and is not a transportation carrier, taxicab company, or common carrier.
5.1 Nature of Services
Tranzit Taxi provides:
A mobile application and website for booking transportation
GPS-based matching of passengers and nearby Drivers
Fare calculation and payment processing services
Communication tools between passengers and Drivers
Trip tracking and receipt generation
Tranzit Taxi does NOT provide:
Transportation services directly
Employment to Drivers
Vehicle maintenance or management
Insurance coverage for Drivers or passengers
5.2 No Warranties
The Tranzit platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
Implied warranties of merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free service
5.3 Limitation of Liability
To the fullest extent permitted by law:
Tranzit Taxi shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Tranzit Taxi's total liability shall not exceed the amount paid by the User for the specific ride giving rise to the claim.
Tranzit Taxi is not liable for the actions, omissions, or negligence of Drivers who are independent contractors.
5.4 Governing Law
This Agreement and all related documents shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to conflict of law principles.
5.5 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
5.6 Entire Agreement
This Agreement, together with the Independent Contractor Agreement, Privacy Policy, and Code of Conduct, constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings.

The following terms used throughout these documents shall have the meanings set forth below:
"Company"Consumarwise Shopping Ltd, a company incorporated in Trinidad and Tobago, trading as Tranzit Taxi and MarketHub.
"Driver"An independent contractor who has registered on the Tranzit platform and provides transportation services using their own vehicle.
"User" / "Rider" / "Passenger"Any individual who uses the Tranzit application or website to book transportation services.
"Platform"The Tranzit Taxi mobile application, website, driver dashboard, and all related technology services.
"Ride" / "Trip"A single transportation service from a pickup location to a drop-off location arranged through the Platform.
"Fare"The total amount charged to the passenger for a Ride, including base fare, distance charges, time charges, booking fees, and any applicable surcharges.
"Commission"The percentage of the Fare retained by the Company (25%) as a service/platform fee.
"Economy Ride"Standard transportation service using vehicles that are under 5 years old and meet basic quality standards.
"Luxury Ride"Premium transportation service using high-end SUVs, executive sedans, or luxury vehicles, subject to an additional surcharge.
"Maxi Taxi"Group transportation service using vehicles with capacity for 15 or more passengers.
